- Purpose
This Marketplace Vendor Agreement (“Agreement”) governs participation by Vendors offering products or services through the TradingBase Marketplace.
This Agreement supplements the TradingBase Terms of Service and other applicable legal policies.
- Definitions
For the purposes of this Agreement:
Marketplace means the TradingBase digital marketplace.
Vendor means any individual or legal entity approved to sell products or services through the Marketplace.
Customer means a user purchasing products or services from a Vendor.
Product includes digital products, educational content, software, templates, indicators, Expert Advisors (EAs), APIs, plugins, reports, datasets, and other approved offerings.
- Vendor Eligibility
To participate, a Vendor must:
provide accurate registration information;
possess the legal right to distribute listed products;
comply with applicable laws and regulations;
maintain an active TradingBase account;
satisfy any additional verification requirements established by TradingBase.
TradingBase may reject or revoke Vendor participation at its discretion, subject to applicable law.
- Vendor Responsibilities
Vendors are responsible for:
ensuring product accuracy;
maintaining product quality;
providing truthful descriptions;
complying with intellectual property laws;
responding to reasonable customer inquiries;
updating products where appropriate;
maintaining compliance with Marketplace requirements.
- Product Listings
Product listings must include, where applicable:
title;
description;
supported platforms;
compatibility information;
licensing terms;
pricing;
system requirements;
update history.
Listings must not contain misleading or deceptive statements.
- Prohibited Products
The following may not be listed unless expressly approved by TradingBase:
unlawful products;
malicious software;
malware;
stolen intellectual property;
counterfeit materials;
deceptive financial schemes;
products violating applicable regulations;
products facilitating cybercrime.
TradingBase may remove prohibited products without prior notice where necessary.
- Intellectual Property
Vendors retain ownership of their original intellectual property.
By listing Products, Vendors grant TradingBase a limited, worldwide, non-exclusive license to:
host;
display;
market;
distribute;
process;
deliver;
Products solely for operation of the Marketplace.
No ownership is transferred to TradingBase.
- Pricing
Vendors may determine pricing subject to Marketplace rules.
TradingBase may support:
promotional campaigns;
discounts;
regional pricing;
currency conversion;
subscription models;
where supported by Marketplace functionality.
- Payments
TradingBase may facilitate payment processing through authorized payment providers.
Vendor payouts are subject to:
applicable fees;
taxes;
verification procedures;
fraud prevention measures;
payout schedules.
Payment processing times may vary.
- Taxes
Vendors are responsible for determining and complying with applicable tax obligations, including:
income taxes;
value-added taxes;
sales taxes;
withholding obligations;
where required by applicable law.
TradingBase may collect or remit taxes where legally required.
- Customer Support
Unless otherwise stated, Vendors remain responsible for providing reasonable post-sale support relating to their Products.
TradingBase may provide general Marketplace support but does not assume responsibility for Vendor-specific technical support.
- Refunds
Refund requests involving Vendor Products may be handled according to:
the Vendor’s published refund policy;
applicable consumer protection laws;
TradingBase Marketplace procedures.
TradingBase may facilitate dispute resolution where appropriate.
- Reviews and Ratings
Customers may submit reviews and ratings.
Vendors must not:
manipulate reviews;
purchase fake reviews;
intimidate reviewers;
create misleading feedback.
TradingBase may remove reviews that violate Platform policies.
- Compliance
Vendors must comply with:
applicable laws;
export controls;
sanctions;
consumer protection regulations;
intellectual property laws;
data protection requirements.
Failure to maintain compliance may result in Marketplace suspension.
- Security
Products distributed through the Marketplace must not intentionally compromise:
customer systems;
Platform security;
personal information;
authentication mechanisms.
TradingBase may perform reasonable security reviews where appropriate.
- Suspension and Removal
TradingBase may suspend or remove Products or Vendor accounts where necessary to:
protect customers;
investigate complaints;
enforce Marketplace rules;
comply with legal obligations;
address security concerns.
Where appropriate, TradingBase may provide notice and an opportunity to respond.
- Limitation of Liability
TradingBase operates the Marketplace as a technology platform.
Except where expressly stated or required by law, TradingBase is not a party to contracts between Vendors and Customers.
TradingBase is not responsible for:
product performance;
Vendor representations;
customer misuse;
business losses arising from Vendor Products.
- Termination
Either party may terminate Marketplace participation in accordance with applicable agreements.
Termination does not affect:
accrued payment obligations;
outstanding disputes;
surviving intellectual property rights;
obligations that by their nature continue after termination.
- Changes to this Agreement
TradingBase may revise this Agreement to reflect:
Marketplace improvements;
legal developments;
operational changes;
security requirements.
Updated versions become effective on the date specified in the revised Agreement.

educational resources.
Availability depends on Marketplace approval.
Appendix B — Vendor Best Practices
TradingBase encourages Vendors to:
provide clear documentation;
maintain accurate version histories;
respond promptly to customer inquiries;
issue timely updates;
communicate known limitations;
disclose compatibility requirements;
follow ethical marketing practices.
These practices promote trust and improve the overall Marketplace experience.
Appendix C — Vendor Compliance Checklist
Before publishing a Product, Vendors should confirm that:
they own or are licensed to distribute the Product;
product descriptions are accurate;
pricing is correct;
required documentation is included;
licensing terms are clearly stated;
no prohibited content is present;
the Product complies with applicable laws and Marketplace policies.
Completion of this checklist does not guarantee Marketplace approval but assists Vendors in preparing compliant listings.
